1. Acceptance of Terms

By accessing or using Track That Ride's delivery tracking platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all users of the Services, including but not limited to companies, administrators, drivers, and customers accessing tracking information.

2. Description of Services

Track That Ride provides a B2B SaaS platform for last-mile logistics tracking, including:

• Real-time delivery tracking and management
• Driver management and location services
• Customer-facing tracking pages
• API and SDK access for integration
• Analytics and reporting tools
• Webhook notifications

3. Account Registration

To use our Services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Be at least 18 years old or the legal age of majority in your jurisdiction

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services

5. Billing and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Plan details are available on our pricing page. Plans may include monthly delivery allowances with overage charges for exceeding those limits.

5.2 Wallet System

Some features use a prepaid wallet system. Wallet funds are non-refundable except as required by law. Delivery charges are deducted when a driver starts a delivery.

5.3 Payment Terms

• Subscription fees are billed in advance on a recurring basis
• All fees are non-refundable unless otherwise stated
• We may change pricing with 30 days' notice
• Late payments may result in service suspension

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of information as described therein.

You are responsible for ensuring that your use of our Services complies with applicable data protection laws, including obtaining necessary consents from your customers and drivers.

7. Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, and trademarks, are owned by Track That Ride or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

8. API and SDK Usage

If you use our APIs or SDKs, you agree to:

• Comply with our API documentation and rate limits
• Keep your API keys confidential
• Not circumvent any security measures
• Display appropriate attribution where required
• Accept that we may modify or discontinue APIs with reasonable notice

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. GPS tracking accuracy may vary based on device capabilities and environmental factors.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACK THAT RIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Track That Ride and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Services will be revoked
• You remain responsible for any outstanding fees
• We may retain your data as required by law or for legitimate business purposes
• Provisions that by their nature should survive will remain in effect

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Track That Ride.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our written consent.
